Results from the MHNA Bylaw Amendment Vote

A vote was conducted at MHNA's recent Membership meeting over the organization's bylaws. That voting period concluded on Wednesday, January 18th at 9 pm.

As it does with all of its board elections, amendment voting, and major funding decisions, voting was held using the online service, Election Runner. All graphics and numbers below are provided by Election Runner.

Do you approve of allowing individuals from the University Neighborhood to be Members of MHNA?

  • The University neighborhood is immediately adjacent to the Marcy-Holmes. Moving east, it extends from 15th Avenue SE to Oak Street SE. Its southern boundary is found at the Mississippi River. It includes only a portion of the West Bank that includes University housing. Its northern boundary is at the BNSF railway. A map can be found here.
 

Do you approve of the changes to the election of MHNA Officers?

  • Officers can be Residents or Non-Residents
  • Officers are to be elected by the MHNA Board of Directors, not the MHNA Membership
 
Do you approve to the following changes to the make up of the MHNA Board of Directors?
  • The board will be made up of Directors who elect their own Officers. In the event of an Officer resignation, that person may still continue to serve as a Director. Currently, an Officer who resigns is no longer a member of the board.
 
Do you approve to the following changes to the make up of the MHNA Board of Directors?
  • Increasing the total allowed number of Non-Resident Directors from 4 to 7
 
Do you approve to the following changes to the make up of the MHNA Board of Directors?
  • Recognizing the Undergraduate Student Government as the official replacement name for the Minnesota Student Association, who have the ability to appoint a Director to the MHNA board.
 

Do you approve removing the Code of Civility policy from the MHNA bylaws?

 

Do you approve amending the following bylaws over Meetings?

  • Clarifying that Executive Committee meetings are open to the public, like all MHNA meetings
  • Replacing "January," "April," "June," and "October" with "Winter," "Spring," "Summer," and "Fall" for MHNA quarterly Membership meetings. This allows flexibility in scheduling.
  • Raising the quorum for Membership meetings from 15 to 25 voting members
  • Lowering the percentage of Resident Members to achieve quorum at a Membership meeting from "more than 60 percent" to "more than 50 percent."
 

Do you approve the following changes to the Executive Committee?

  • A new Section 1 was added to clarify the role of the the Executive Committee, it reads: Section 1. The Board of Directors may (but does not need to) establish an Executive Committee to consist of the four (4) Officers of the association. The President is the Chair of the Executive Committee. The creation of an Executive Committee does not relieve the board of directors of any of its responsibility. The committee is at all times subject to the direction and control of the full Board. The role of the Executive Committee, if established, is primarily to organize the agenda for each board meeting. It may also supervise the Executive Director, and conduct such other business as may be referred to it by the board.
 

Do you approve the elimination of the Audit Committee?

  • This does not prevent the creation of a standing Audit Committee, it would simply remove it from being in the bylaws

 
 

Do you approve the elimination of the Nominations Committee?

  • This does not prevent the creation of a standing Nominations Committee, it would simply remove it from being in the bylaws
 

Do you approve of the changes to the Amendment process?

  • Eliminates the role of the Executive Committee in determining if the board, and subsequently the Membership, is allowed to discuss and vote on any bylaw amendments
  • New Sections 1 and 2 clarify the process:
Section 1. Proposed bylaw amendments shall be submitted in writing to the President and Executive Director who will present the proposed changes to the Board for discussion at no less than one (1) meeting of the board. Proposed bylaw amendments shall be published in the agenda and notice. The proposed amendment(s) shall be submitted in writing to Board members and presented for discussion at no less than one (1) meeting of the Board prior to a General Membership meeting, at which they will be presented for ratification.

Section 2. Bylaws may be amended by a vote of two-thirds of the members present and voting, provided written notice is given to members of the Association fifteen (15) days prior to the meeting.
